These Wholesale Terms & Conditions (“Terms”) govern all business-to-business (“B2B”) and wholesale transactions conducted through wholesale.musashihamono.com (the “Site”) and any related sales channels operated by TAIMATSU株式会社 (“Seller”, “we”, “our”).


By placing an order, creating an account, or otherwise engaging in a transaction with us, the buyer (“Buyer”, “you”) agrees to be bound by these Terms.



1. Scope & Applicability


These Terms apply exclusively to transactions between businesses.
The Buyer confirms that it is acting in the course of trade, business, or profession and not as a consumer.


Consumer protection laws, including but not limited to cooling-off periods, rights of withdrawal, and consumer return rights, do not apply to transactions governed by these Terms.


In the event of any conflict between these Terms and any other documents or communications, these Terms shall prevail unless explicitly agreed otherwise in writing.



2. Account Registration & Eligibility


Wholesale purchasing requires an approved wholesale account.
We reserve the right to approve or reject wholesale account applications at our sole discretion.


You are responsible for maintaining the accuracy of your account information and for all activities conducted under your account.



3. Orders & Acceptance


All orders are subject to acceptance by the Seller.
An order is not deemed accepted until we issue an order confirmation or dispatch the goods.


We reserve the right to:
 • Refuse or cancel orders
 • Limit quantities
 • Discontinue products without prior notice


Product availability is not guaranteed until shipment.



4. Pricing & Product Information


All prices are listed exclusive of taxes, customs duties, import fees, and shipping costs unless otherwise stated.


Prices, specifications, and availability are subject to change without prior notice.
Product images, descriptions, and specifications are provided for reference only and may differ slightly due to the handmade nature of the products.



5. Payment Terms


Accepted payment methods include credit card and PayPal, unless otherwise agreed in writing.


Payment is due in full at the time of order confirmation.
Orders will not be processed or shipped until payment has been successfully received.


We reserve the right to suspend or terminate accounts with overdue or disputed payments.



6. Shipping & Delivery


Shipping methods, carriers, and delivery timelines vary depending on destination and product availability.


Estimated delivery times are indicative only and not guaranteed.
Delays caused by carriers, customs, force majeure, or other external factors do not constitute grounds for cancellation or compensation.


Risk of loss or damage transfers to the Buyer upon dispatch, unless otherwise agreed in writing.

7. Inspection, Returns & Claims


The Buyer must inspect all goods immediately upon receipt.


Any claims for defective products, damage, or incorrect shipment must be reported in writing within 7 days of delivery.
Failure to do so constitutes acceptance of the goods.


Approved claims may be resolved at our discretion by replacement, repair, or refund.
Returns without prior written authorization will not be accepted.


Returns or exchanges due to Buyer preference, over-ordering, or commercial reasons are not permitted.



8. Cancellations


Orders cannot be cancelled once shipment has occurred.


Cancellations requested prior to shipment may be accepted at our discretion and may be subject to a cancellation fee of up to 15% of the order value.



9. Handmade Product Disclaimer


All products are handmade by skilled craftsmen.
Variations in size, color, finish, texture, and appearance are inherent characteristics of the products and do not constitute defects.


Such variations are not grounds for claims, returns, or refunds.



10. Intellectual Property & Brand Usage


All trademarks, product designs, images, text, and other materials remain the intellectual property of the Seller or its licensors.


Use of brand assets, product images, or marketing materials is subject to our Brand & Media Asset Usage Policy.
Unauthorized use may result in termination of the wholesale account and legal action.



11. Regulatory & Import Compliance


The Buyer is responsible for ensuring compliance with all applicable laws, regulations, and import requirements in their respective jurisdiction.


The Seller shall not be liable for customs delays, seizures, or regulatory issues arising from the Buyer’s failure to comply with local laws.



12. Limitation of Liability


To the fullest extent permitted by law, the Seller shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, loss of business, or reputational damage.


The Seller’s total liability, if any, shall be limited to the total amount paid by the Buyer for the affected order.



13. Force Majeure


The Seller shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, war, labor disputes, pandemics, governmental actions, or supply chain disruptions.



14. Governing Law & Jurisdiction


These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.


The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.


Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Japan.



15. Severability


If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.



16. Entire Agreement


These Terms constitute the entire agreement between the parties concerning wholesale transactions and supersede all prior agreements, communications, or understandings.
